1. Applicability

1. These terms apply to all offers, quotations, and agreements between House of Dash (“Contractor”) and the Client.
2. Deviations are only valid if agreed in writing. Client terms are excluded.
3. These terms also apply to third parties engaged by House of Dash and with the freelancers House of Dash works with.

Definitions:

• Client: The party commissioning House of Dash
• Contractor: House of Dash, Fazant 22, Vught, Netherlands.
• Agreement: All services and deliverables provided by House of Dash for the Client.

2. Offers and Agreements

1. All offers and quotations are non-binding and valid for 2 months unless stated otherwise. Prices exclude VAT and other costs (travel, shipping, administrative) unless specified.
2. Agreements must be confirmed in writing. Verbal agreements are binding only after written confirmation.
3. Agreements may be for a fixed or ongoing period. Ongoing agreements require a minimum 2-month notice for termination.

3. Execution

1. House of Dash performs work carefully, independently, and in the Client’s best interest.
2. The Client must provide complete, clear, and timely information. Delays may lead to postponed or suspended work.
3. Extra work due to incomplete or late input will be invoiced separately.
4. Timelines are estimates unless explicitly stated. Delays do not constitute default unless written notice is provided.
5. House of Dash may engage third parties for certain activities.

4. Intellectual Property & Rights

1. Unless agreed otherwise, all intellectual property created by House of Dash remains with House of Dash.
2. Deliverables remain House of Dash property until all payments are made.
3. The Client may not publish, duplicate, or modify works without House of Dash prior consent.
4. House of Dash may use her name in relation to the work for publicity.

5. License & Use

1. Once payment obligations are met, the Client receives a license to use the work as agreed in the contract.
2. Unauthorized or broader use without consent is prohibited; violations may incur compensation of at least 3x the agreed fee or a reasonable amount.
3. House of Dash may showcase projects and use the Client’s name for marketing, unless otherwise agreed.

6. Fees & Payment

1. Fees are based on hourly rates or agreed project/monthly fees. VAT excluded.
2. House of Dash may charge office expenses and third-party costs related to the assignment.
3. Invoices are payable within 14 days. Late payment incurs interest: 12% p.a. or statutory interest, whichever is higher.
4. House of Dash may suspend work for non-payment. Collection costs are charged to the Client.
5. House of Dash may request advance payments. 

7. Cancellation & Termination

1. The Client may terminate only for extraordinary, unforeseen circumstances (e.g., bankruptcy, moving abroad) or serious failure by House of Dash to perform.
2. House of Dash may terminate if the Client fails obligations, including payments or compliance with these terms.
3. Upon termination, the Client must pay for work performed and incurred expenses.
4. Compensation may include third-party costs and at least 30% of the remaining fee for incomplete assignments.
5. Immediate termination is allowed in case of bankruptcy or suspension of either party.

8. Warranties & Disclaimers

1. House of Dash guarantees authorship of delivered work.
2. House of Dash handles materials carefully but is not liable for loss, damage, or destruction of Client-provided items.
3. The Client indemnifies House of Dash against third-party claims and IP infringements from Client-provided materials.

9. Confidentiality

1. House of Dash keeps confidential information secret unless publicly available or legally required to disclose.
2. Third parties engaged in the assignment are bound by the same confidentiality obligations.

10. Liability

1. The Client is responsible for the accuracy and completeness of information provided.
2. House of Dash is not liable for indirect, consequential, or business damages, except for intentional or gross negligence.
3. Liability is limited to direct damages, up to the fee charged for the relevant part of the assignment.
4. House of Dash is not liable for minor deviations in approved deliverables or temporary unavailability of personnel.
5. All liability claims expire one year after assignment completion.

11. Changes to Terms & Rates

1. House of Dash may adjust terms and rates; changes are communicated to the Client.
2. Adjustments do not apply to ongoing projects unless agreed otherwise.

12. Miscellaneous

1. Client may not transfer agreements without House of Dash consent.
2. Client contact info must be updated promptly.
3. Use of House of Dash’s name or logo by the Client must not harm House of Dash’s reputation.
4. Dutch law applies, except for the Vienna Sales Convention.
5. Disputes:
   • Clients in the EU, Switzerland, Norway, Iceland: Oost-Brabant District Court, ’s-Hertogenbosch.
   • Clients elsewhere: ICC arbitration in ’s-Hertogenbosch, English language, one arbitrator <€250,000, three arbitrators >€250,000, governed by applicable law.
